Please read these Terms & Conditions carefully and in their entirety before using MiShadow. By using https://mishadow.com or the MiShadow application (together, the “Service”), you agree to these Terms. The Service is owned and operated by MiShadow LLC.

PURPOSE: These Terms explain the rules for using MiShadow, a family legacy vault and continuity tool that helps families preserve and pass on their shared history.

IMPORTANT NOTES:

By using the Service, you agree to these Terms, our Privacy Policy, and our Disclaimer. If you do not agree, please do not use the Service.

You must be at least 18 years old to create an account and agree to these Terms.

These Terms contain an arbitration clause and a waiver of class actions (Section 16). By agreeing, you agree to resolve most disputes through binding arbitration and to waive your right to a jury trial, except where prohibited by law.

You are responsible for the activity that happens under your account and for keeping your login credentials secure. Notify us promptly at support@mishadow.com if you believe your account has been accessed without your permission. Do not share your credentials with anyone other than yourself.

4. Your Content and Ownership

You retain ownership of Your Content. We do not claim ownership of the photos, recordings, stories, or family information you add to MiShadow.

You grant MiShadow a limited, non-exclusive license to store, process, display, transcribe, thumbnail, index, back up, and transmit Your Content solely to operate and provide the Service to you and the family members you authorize. This license exists only so we can run the features you use. It ends when you delete the relevant content or close your account, except for content already shared with other authorized members and for residual copies retained briefly in backups.

You are responsible for having the rights needed to add Your Content, including any information about other people.

5. Your Family and Other People

MiShadow vaults often include information about living relatives, including children. You are responsible for respecting the wishes and privacy of the people you include, and for obtaining any consent that may be required. If someone asks you to remove information about them, please honor that request. We may act on credible requests from affected individuals as described in our Privacy Policy.

6. Privacy, Export, and No Lock-In

Our Privacy Policy explains how we handle your information. We are committed to your control over your data: vault owners can export vault data as described in the Privacy Policy and in the Service, and you can disconnect external storage providers at any time. We design the Service to avoid locking your family's history inside it.

7. Subscriptions and Payments

Some features of the Service require a paid subscription. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your selected payment method on a recurring basis until you cancel. You can manage or cancel your subscription as described in the Service. Except where required by law or stated otherwise at the time of purchase, payments are non-refundable for periods already elapsed. We may change pricing on a going-forward basis with notice. If a payment fails, paid features may be suspended until payment is resolved.

8. Encryption and Time Capsules

Certain features, such as time capsules, let you encrypt content with a password before it is uploaded. If you lose that password, we cannot recover or reset it and cannot access the encrypted content on your behalf. You are responsible for safeguarding any passwords you set for encrypted content.

9. Estate Handoff and Continuity

MiShadow provides estate-planning, beneficiary, and proxy-access features to help you record your wishes and designate who may receive access to a vault. These are planning tools. They do not create a legally binding will, trust, or estate plan, and access on death or incapacity follows the consent, designation, and verification steps configured in the product. We do not guarantee any specific posthumous-access outcome, and you should consult a qualified estate-planning professional.

10. Our Intellectual Property

The Service itself — including its software, design, and branding (Our Content) — is owned by MiShadow LLC and protected by intellectual property laws. We grant you a limited, personal, non-transferable license to use the Service as intended. You may not copy, modify, resell, reverse engineer, or create derivative works from the Service except as permitted by law.

11. Third-Party and Connected Services

The Service relies on third-party providers and can integrate with services you connect, such as Google Photos and Dropbox. Your use of a connected or third-party service is governed by that service's own terms and privacy practices, and we are not responsible for those services. Disconnecting a service is your choice and may limit related features.

12. Disclaimers

MiShadow is a family legacy vault and continuity tool. It is not legal, tax, financial, medical, or estate-planning advice, and it is not a substitute for a licensed professional. To the fullest extent permitted by law, the Service and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content will be preserved indefinitely. Please keep your own backups of irreplaceable media.

13. Limitation of Liability

To the fullest extent permitted by law, MiShadow LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. To the extent we are found liable, our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

14. Indemnification

You agree to indemnify and hold harmless MiShadow LLC and its owners, employees, and contractors from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of the rights of another person.

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service unlawfully. Where practical, we will give you notice and an opportunity to export your data before termination, consistent with our no-lock-in commitment.

16. Arbitration and Class-Action Waiver

If a dispute arises, please contact us first at support@mishadow.com so we can try to resolve it directly. If we cannot resolve it informally, you and MiShadow LLC agree to resolve the dispute through binding arbitration administered by the American Arbitration Association under its applicable rules, rather than in court, except that either party may bring a qualifying claim in small-claims court. You and MiShadow LLC agree to bring claims only in an individual capacity and waive any right to participate in a class or representative action and the right to a jury trial. This Section applies except where prohibited by applicable law.

17. Governing Law and Jurisdiction

These Terms, and any dispute arising from them, are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Updated on” date above and provide additional notice of material changes where appropriate. Your continued use of the Service after an update means you accept the revised Terms.

19. Entire Agreement and Severability

These Terms, together with our Privacy Policy and Disclaimer, are the entire agreement between you and MiShadow LLC regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect.
